Industry Partner Contract

This Industry Partner Agreement & Contract (“Contract”) is entered into by and between the World Council of Credit Unions (“World Council”) at 1010 East Washington Ave, Suite 306 Madison, WI 53703, and, (Industry Partner Company Name) (“Industry Partner”) at (Address) shall become effective when it has been submitted by the Industry Partner company and accepted by World Council of Credit Unions.

The individual signing this Agreement & Contract represents and warrants that he/she is duly authorized to execute this binding Agreement & Contract on behalf of the Industry Partner company. By signing below, the Industry Partner company agrees to be bound by the Terms & Conditions below. The Industry Partner company agrees that upon acceptance of this Agreement & Contract by World Council of Credit Unions, with or without appropriate payment of the contracted fee and further action by the Industry Partner company, this Application & Contract, together with the Terms & Conditions below, (collectively “this Contract”) shall become a legally binding contract between World Council of Credit Unions and Industry Partner company (“Industry Partner”).

 

Payments, Cancellations & Refunds

Industry Partners must remit payment within 30 days of signing their Contract. If the Industry Partner chooses to submit payment online, they will immediately receive receipt of payment via the online portal. If the Industry partner chooses payment via check or wire, World Council of Credit Unions shall issue an invoice immediately after receiving the signed Contract. If payment is not received within 30 days after execution of the Contract, the Industry Partners booth will be released. 

Credit card payments can be made online using American Express, MasterCard or Visa. Make all checks payable to World Council of Credit Unions and remit to the following address via the U.S. Postal Service: P.O. Box 2982, Madison WI 53701-2982  USA.

A 25% payment will be charged per booth on cancellations received in writing by April 4, 2025. No refund of Exhibit space will be made after April 5, 2025. Industry Partner may request changes or substitutions as an alternative resolution to Industry Partner cancellation, subject to availability. World Council of Credit Unions does not guarantee acceptance of any proposed alternative resolution. Cancellation by Industry Partners, and alternative resolution proposals, must be directed in writing to World Council of Credit Unions via email at: khochmuth@woccu.org.

If a cancellation is requested without payment being submitted, a 20% cancellation fee is still required as per the terms of this agreement. Recoupment of cancellation fees is fully actionable as permitted by law. If you do not pay the fees agreed, you will no longer be able to participate in World Council of Credit Union’s events.

Eligibility

World Council of Credit Unions reserves the right to determine the eligibility of any Sponsor and/or Industry Partner and to prohibit a Sponsor and/or Industry Partner from receiving sponsor recognition if, in the sole judgment of World Council of Credit Unions, the Sponsor and/or Industry Partner shall in any respect be deemed unsuitable. A Sponsor and/or Industry Partner’s eligibility to sponsor a World Council of Credit Union’s event must remain in effect from the time of submission of the Contract to the time the event and/or agreement concludes.

 

Indemnification

World Council and Industry Partner, separately and at their own expense, shall each indemnify and hold the other party, its employees, agents, affiliates, designees, and assignees harmless from any loss, damage, liability or expense, on account of damage to property and injuries, including death, to all persons caused by any willful or negligent act or omission of the other party or its subcontractors related to the performance of this Contract. Neither party shall be liable for the acts of the other party and its other subcontractors. World Council and Industry Partner, each at their own expense, shall defend any suit or dispose of any claim or other proceedings brought against said indemnities on account of such damage or injury and shall pay all expenses, including attorneys' fees, and satisfy all judgements which may be incurred by or rendered against said indemnities. 

 

Liability

The World Council will not be liable and makes no guarantee of the number attendees attending the event or webinars, or traction on digital advertisements. Equally the World Council is not liable to the Industry Partner for the level of commercial activity generated.

All Industry Partners must have Public Liability Insurance for the period of the conference and must be able to produce this documentation at the request of the World Council.

 

Dispute Resolution

  1. All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The location of arbitration shall be Madison, Wisconsin. The language for arbitration shall be English. 
  1. The arbitration requirement shall not prevent either party from applying to any court of competent jurisdiction for injunctive relief so as to maintain the status quo until such time as the arbitration award is rendered or the controversy is otherwise resolved. 
  1. The provisions of this Contract and any amendments thereto shall be governed by, construed and enforced in accordance with the laws of Wisconsin. The Parties agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement, notwithstanding the existence of any facts resulting in the application thereof. 
  1. If this Contract is translated into a foreign language, and there is a dispute in interpretation, the English version of this Contract governs in all circumstances. 

 

Conduct/Restrictions

Industry Partner agrees to abide by the following:

The Industry Partner shall not conduct outside activities which would take qualified attendees from the official functions of the conference during scheduled show or conference hours.

Industry Partners are expected to respect World Council as the organizer and agrees that its actions will not contain any reference to its endorsements, sponsorships or other relationships with associations or organizations that represent interests hostile to or competing with World Council or credit unions.

 Industry Partner agrees to treat all World Council members with courtesy and not to discriminate against any person for any reason. World Council reserves the right to remove any Industry Partners whose personnel discriminate against any persons in any manner, or for any misconduct or negligent acts.

Industry Partner is not authorized to use or reproduce any World Council logo in or on its website, flyer or other material, or for any other purpose without prior written approval from World Council.
